SSL International plc ("SSL"), the international manufacturer and distributor of healthcare products, has completed the acquisition of the remaining 49% of the shares in its Japanese subsidiary, Seton Scholl Japan Limited, from its joint-venture partner, as announced on 2 February 2000.

The purchase price will be JPY 900 million (approximately £5.4 million), payable in cash three equal annual instalments, with the first payment on 31 March 2000.

SSL is now able to market and distribute its full range of products in Japan through this now wholly owned subsidiary. Previously Seton Scholl Japan distributed Scholl branded products - footcare, footwear, and compression therapy products - and surgical and dental gloves. Following the termination of the contract with Okamoto, also announced on 2 February, Seton Scholl Japan will also sell Durex branded condoms in this important market.

In addition, the Company is holding pre-close period update meetings with the healthcare analysts. The main purpose of the meetings is to reconfirm the statements previously made by the Company. The main points being made at the meetings are:

* SSL remains committed to compound annual pre- exceptional earnings growth target of approximately 15%;

* the integration process is proceeding well and the group remains confident of achieving its forecast savings; and

* trading continues to be in line with the Board's expectations.

At the preliminary announcement on 6 June, the Group will give an update on exceptional costs and the results of a recent Board strategy review, which defined core and non- core areas of the business.
